These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Client" or "Partner") and NAKED ADS AND ROBOTS LIMITED ("NudeAds", "Company", "we", "us", or "our"), a company registered in Ireland with Company Number 801465, having its registered office at Venture Hub, 136 Capel Street, Dublin 1, D01 T2C9, Ireland.

By accessing or using our website, Partner Centre, or advertising services, you agree to be bound by these Terms.

1. Services

NudeAds provides digital advertising, traffic generation, and landing page optimization services, primarily focused on the Reddit platform (the "Services"). We grant you a limited, non-exclusive, non-transferable right to access and use our Services and Partner Dashboard strictly for your internal business purposes.

2. Account Registration and Security

To access certain features, you may be required to register for an account. You agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Client Obligations

  • Compliance: You represent and warrant that your use of the Services, including any content or landing pages you promote, complies with all applicable laws and regulations.
  • Content: You retain all rights to the content you provide. You grant NudeAds a license to use, display, and distribute such content solely for the purpose of providing the Services.
  • Prohibited Use: You may not use our Services to promote illegal activities, malware, or deceptive practices.

4. Payments and Fees

Fees for our Services are set forth in the applicable Insertion Order (IO) or service agreement. Unless otherwise agreed in writing, all fees are non-refundable. Failure to pay fees when due may result in the suspension or termination of your account.

5. Intellectual Property

The NudeAds platform, including our "Partner Centre" dashboard, proprietary ad-delivery algorithms, logos, and trademarks, remains the exclusive property of NAKED ADS AND ROBOTS LIMITED. Nothing in these Terms grants you any right to use the NudeAds name or any of the NudeAds trademarks, logos, domain names, and other distinctive brand features without our prior written consent.

6. Disclaimers and Limitation of Liability

No Guarantee of Results: While we strive to provide high-quality traffic and conversions, NudeAds does not guarantee specific results, click-through rates, or conversion volumes.

Limitation of Liability: To the fullest extent permitted by law, NAKED ADS AND ROBOTS LIMITED shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits. Our total liability for any claim arising out of these Terms shall not exceed the amount paid by you to us for the Services in the six (6) months prior to the event giving rise to the claim.

7. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Ireland. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland.
